Stephanie’s practice focuses on assisting clients with a broad range of securities and corporate matters. She has experience on advising clients in various industries with respect to listing on recognized Canadian stock exchanges, mergers and acquisitions, financing transactions and compliance with corporate and securities regulatory requirements.

Stephanie also has extensive experience in international and domestic transactions across a broad range of industry sectors, and in particular in the life sciences, agribusiness and emerging technologies industries. She understands the complexities of securities regulations and corporate governance and has handled complex securities offerings, corporate financings and regulatory compliance matters.

  • Stephanie’s relevant transaction experience includes:
    • Acted for IR Labs Inc., a leading Canadian investor relations agency, on the cross-border sale of all of its issued and outstanding shares to Alliance Advisors, LLC, a global shareholder engagement and advisory firm.
    • Acted for a confidential seller in its sale of a majority stake in a Canadian agricultural equipment manufacturer for $60.5M
    • Acted for Next Hydrogen Solutions Inc. in its $55M financing, reverse takeover transaction and listing on the TSX Venture Exchange.
    • Acted for a confidential client in the potash industry with its brokered private placement financings
    • Acted for Psygen Labs Inc. in its private placements and $9M merger to become Psygen Industries Ltd.
    • Acted for Payslate Inc. in its brokered private placement offering of special warrants
    • Acted for Falkbuilt Ltd. in its ~$50 Million Series “A” and Series A-2 preferred share financings.
    • Acted for Alpha Exploration Ltd. in its private placement financings for $6M
    • Acted for Sansero Life Sciences Inc. in its merger with CannaGlobal Canada Co. Inc. and related private placement financing
    • Acted for Nomodic Modular Structures Inc. in its Class “A” preferred share financing
    • Acts for issuers, underwriters and agents in connection with public and private equity and debenture financings.
    • Represents companies in mergers and acquisitions, including plans of arrangement, amalgamations and share purchase transactions.
    • Assists clients in the reorganization and restructuring of corporations, partnerships and other entities.
    • Advises companies in governance and compliance with corporate and securities regulatory requirements.
