Miles has maintained a broad practice advising energy sector and sector-adjacent participants and project proponents for more than twenty-five years. He advises frequently on mergers, acquisitions and divestitures, and project structure and development.

He has led significant transactions in the upstream, midstream and downstream sectors, and has advised on virtually all aspects of the Liquefied Natural Gas value chain. He has also played a lead role in significant debt financing and restructuring transactions both within Canada and internationally.

Miles writes frequently about oil and gas law, and teaches the Oil and Gas Law and Oil and Gas Contracts courses at the University of Calgary Law School. He led the drafting committee for the Pre-Unitization Agreement for the Association of International Energy Negotiators, and was recently selected as a Global Elite Thought Leader in Energy (Oil and Gas) by Who’s Who Legal.

Miles is the leader of BLG’s Asia Pacific initiative. He is also member of the firm's Environmental, Social and Governance (ESG) leadership team.

Experience

  • Miles has been lead Canadian counsel to John Wood Group plc for over a decade. Recent transactions include:
    • The US$1.8 billion sale of its environment and infrastructure consulting business to Canadian engineering firm WSP Global.
    • The US$67 million sale of its joint venture interest in TransCanada Turbines to joint venture partner TC Energy.
    • The sale of its interests in Teshmont Consulting to Stantec Consulting Ltd.
  • Lead counsel to Parkland Corporation and its Caribbean subsidiary, Sol Petroleum, in numerous downstream transactions, including its recently announced major divestiture program.
  • Lead Canadian counsel to Anvil Channel Energy Solutions, in its debt and royalty transactions with ROK Resources Inc. and Certus Oil & Gas Ltd.
  • Lead Canadian counsel to Arc Rock Holdings in its debt transactions with Persist Oil & Gas Ltd. and Acceleration Holdings Ltd.
  • Counsel to Novus Earth Energy Operations Inc., a geothermal project developer with an active project in Hinton, Alberta.
  • Counsel to upstream junior producer Entrada Resources Inc. in ongoing matters, including its its acquisition of assets from Bonavista Petroleum Corporation.
  • Counsel to upstream junior producer Revitalize Energy Inc., in its transactions acquiring the assets of Petrocapita Oil & Gas Ltd. out of receivership.
  • Counsel to Canada Fortescue Future Industries Ltd. in its negotiations with several separate First Nations for the development of green hydrogen facilities on First Nations land.
  • Lead counsel to ALS Global, through its Canadian subsidiary, in the acquisition of the consulting and geotechnical division of EarthLabs Inc.
  • Lead counsel to Koch Industries Inc. in the sale of its Canadian upstream assets to Cavalier Energy Inc.
  • Part of the team advising the Government of Canada in its acquisition of the Trans Mountain Pipeline and Expansion from Kinder Morgan.
  • Lead counsel to Nexen Inc. / CNOOC on its now-shelved Aurora LNG project.
  • Lead counsel to Chinese gas utility ENN, in its participation and subsequent exit from the Douglas Channel LNG project, ultimately acquired by Altagas.
