Darcy has a diverse corporate commercial practice, primarily focused on transactional and project work, including private company mergers, acquisitions and divestitures; public private partnerships; project development and finance; and all phases of infrastructure and energy projects. She also advises clients on a wide range of commercial matters including business structuring and reorganizations, negotiation and drafting of commercial agreements and ongoing corporate governance.

Prior to law, Darcy danced professionally with Ballet British Columbia.

  • MedSpa Partners Inc., a top-tier Canadian medical aesthetics platform, in its acquisition of all issued and outstanding shares of Pacific Derm.
  • MedSpa Partners Inc., a top-tier Canadian medical aesthetics platform, in its acquisition of all issued and outstanding shares of Carruthers & Humphrey Cosmetic Dermatology.
  • FW Fitness BC Ltd. acquired the assets of SNFW Fitness BC Ltd (Steve Nash Fitness World) pursuant to a receivership sale.
  • Surrey Light Rail Project (British Columbia) – assisted in advising TransLink with respect to the proposed Surrey-Newton-Guildford light rail transit project.
  • P3 Hospital Project (Saskatchewan) – assisted in advising a project proponent with respect to the purchase of an equity interest in, and the replacement of a service provider to, a P3 hospital project in Saskatchewan.
  • Advised numerous purchasers and sellers in connection with private company share, asset and hybrid transactions, across a variety of industries and sectors, including construction, engineering, retail, analytics, distribution, healthcare, wellness, and the hospitality and service sectors.
  • Site C Hydro Project (British Columbia) – assisted in advising BC Hydro in respect of its multi-billion dollar Site C Hydro project.
  • Residential Care Facilities (British Columbia) – acted for lenders on the debt financing of the development of two residential care facilities in British Columbia.
  • Indigenous Energy Project (British Columbia) – acted for Project Co, a partnership between a BC First Nation and an industry proponent, on the development of an energy project on the traditional territories of the First Nation in British Columbia.
  • Mount Sinai Hospital Phase 3A – assisted in advising lenders to a bidder on a bid submission.
  • Routinely advises clients on a range of other transactional and commercial law matters including corporate structuring, private company corporate matters, partnerships and joint ventures, negotiation of commercial agreements, First Nations project development and business transactions, and a variety of other commercial matters.
