Rachael specializes in providing comprehensive legal solutions for clients navigating the complexities of debt transactions. She acts for lenders and borrowers in structuring, negotiating, and documenting debt financings, including project finance, syndicated and bilateral loans, bonds, securitizations and other secured and unsecured debt arrangements. Her work spans across various sectors and structures, including business financings, energy and infrastructure financing, asset-based lending, public sector, municipal and not-for-profit transactions.

Rachael’s key areas of focus include:

  • Negotiation & structuring: Working closely with clients to craft financing solutions that meet their unique transaction needs.
  • Transaction management: Overseeing all aspects of debt transactions, from initial term sheets to final closing, ensuring a smooth process.
  • Legal Advice & Risk management: Providing advice on a broad spectrum and debtor and creditor legal issues while managing legal risks.

Experience

  • Advising sponsor on $5.2 billion non-recourse project financing to fund investment in 1.1 GW Baltic Power Offshore Wind Project in Poland.
  • Advising sponsor on $0.6 billion non-recourse project financing to fund 250 MW / 1,000 MWh battery storage facility located in Ontario and advised lender in respect of equity loan made to First Nation partner.
  • Advising various Ontario hospitals on debt financing for the design and implementation of health information system.
  • Advising public sector lender on $50 million term loan facility to a private sector borrower.
