Executive Summary

Lily Wang is National Leader of our China Focus Group, and a partner in our Corporate Commercial Group in Vancouver. Fluent in both Mandarin and English, Lily focuses her practice on corporate/commercial law, mergers & acquisitions, and global wealth management. She advises clients on mergers & acquisitions, corporate reorganizations, commercial agreements, and various other corporate and commercial matters. She also advises clients on trust law matters and global estate and asset-preservation planning, and has advised a number of high-net-worth clients on immigration trust, in-bound trust and other global estate-planning structures.

Before immigrating to Canada in 1999, Lily practised law in Fuzhou, the People’s Republic of China, for approximately five years, focusing on civil and commercial litigation.

  • Represented a Hong Kong listed company on its CAD$290 million acquisition of a Canadian oil & gas company.
  • Represented a Chinese State-Owned Enterprise on its CAD$320 million acquisition of a Canadian oil & gas company listed on the TSX.
  • Represented a Chinese State-Owned Enterprise on its acquisition of the shares of a TSX-listed mining company.
  • Represented a Chinese State-Owned Enterprise in connection with the establishment of its presence in British Columbia.
  • Represented a major Chinese conglomerate on its proposed acquisition of hotels in Canada.
  • Represented a large Chinese pharmaceutical company on its acquisition of the assets of a TSX-Venture-listed medical device company.
  • Represented a Hong Kong Stock Exchange listing involving Canadian subsidiaries in the business of manufacturing pressure and temperature gauges.
  • Represented a large TSX-listed company on its CAD$225-million acquisition of the largest “Asian grocer” in Canada.
  • Represented a leading multi-national communications company on its US$150-million service agreement.
  • Represented a leading real estate financier on its CAD$100-million partnership with institutional investors.
  • Represented a Canadian company on the proposed sale of shares by approximately 180 shareholders located in multiple jurisdictions in North America and South America through plan of arrangement.
  • Represented a Chinese client on the setting up of the corporate structure for listing on a Stock Exchange and the shareholder disclosure matters in respect of the company’s dual listing on another Stock Exchange, and the subsequent going-private transaction.
