Claudine Millette  

Claudine Millette focuses her financial services practice primarily on lending and financing, insolvency and corporate restructuring. More specifically, Claudine represents banks and other financial institutions, both nationally and internationally, arranging credit facilities and security transactions. She also advises financial institutions in restructuring credit arrangements for businesses facing financial difficulties.

Claudine handles both public and private financing, business and real estate financing, project financing, syndicated and cross-border transactions, acquisition financing and leveraged financing, as well as other modes of financing (such as asset based lending and financing through factoring and/or the issuance of convertible bonds).

• ​Acted as lead counsel for a syndicate of lenders headed by Bank of Montreal, with respect to senior credit facilities totalling $100 million for a telecommunications business.
• Acted as lead counsel for a syndicate of lenders headed by HSBC Bank Canada with respect to financing of an $80 million acquisition for a North American corporation in the paintball industry business.
• Acted as lead counsel in Canada in relation to the issuance of senior notes totalling $160 million to a maritime corporation.
• Represented a Canadian bank in the financing of an acquisition of an American business by a Canadian medical insurance company.
• Acted as lead counsel for a syndicate of lenders headed by Bank of Montreal with respect to preferred credit facilities of $65 million granted to Napec Inc., a North American public corporation specializing in energy solutions.
• Acted as lead counsel for Bank of Montreal as agent for a syndicate of lenders with regard to a $140 million asset based financing granted to Colabor Group Inc., a wholesaler and distributor of food products.
• Represented Bank of Montreal and a syndicate of lenders in a $150 million financing of the acquisition of Access Cash General Partnership by Morgan Stanley.
• Represented The Bank of Nova Scotia and a syndicate of lenders in the $175 million financing granted to a maritime shipping business.
• Represented Ernst & Young Inc. as advisor to the Investors Committee to supervise the restructuring of the Canadian market for non-bank asset-backed commercial paper, valued at $35 billion.
