Maxime Lemoyne is a lawyer in our Business and Corporate Commercial Group and specializes in commercial and regulatory issues as well as Aboriginal law.

He participated in transactions of both public and private companies operating in fields ranging from the production of renewable energy to the distribution of various products and services and he participated in the due diligence processes and in the accompaniment of clients in the context of these transactions.

Maxime's practice is bilingual and also includes the provision of legal advice and drafting of opinions on regulatory and commercial issues in various areas of law including corporations and non-profit organizations, Aboriginal law, energy, governance, civil liability and access to information and privacy law.

Maxime also represents clients in front of different civil and administrative tribunals, notably on matters of Aboriginal law.

Representative Work

  • Advises companies in the negotiation of agreements in matters of production, distribution, service provision, entertainment and licensing.
  • Assists band councils in strengthening governance, transparency and accountability processes.
  • Represented clients at the Superior Court of Quebec in injunction proceedings.
  • Represented clients at the Superior Court of Quebec and at the Tribunal administratif du travail on constitutional issues in aboriginal law arising from the James Bay and Northern Quebec Agreement.
  • Acted for Groupe Vétéri Medic Inc. in the acquisition of several veterinary hospitals.
  • Acted for the underwriters in the context of a bought deal offering under a short form prospectus of convertible unsecured subordinated debentures of Innergex Renewable Energy Inc. for an aggregate principal amount of $100 million.
  • Represented Diagnos Inc., a TSX Venture Exchange listed issuer, in the context of a private placement of senior secured convertible debentures through a syndicate of agents.
  • Acted for ProMetic Life Sciences Inc., a Toronto Stock Exchange listed issuer, in connection with the closing of a bought deal public offering of 19,250,000 common shares, conducted through a syndicate of underwriters, for aggregate gross proceeds of $50,050,000.
  • Participated in due diligence audits for transactions or investments of different private and public corporations (e.g. the recent acquisition of Atis Group Inc. by a consortium of buyers including the Fonds de solidarité des travailleurs du Québec, Capital régional et coopératif Desjardins and Fondaction CSN for over $80 M).
  • Advised clients on different environmental law issues (e.g. contaminated lands, transportation of dangerous goods, environmental emergencies, liability of property owners, directors' liability).
  • Advised clients on their subjection to the Québec Cap and Trade System for Greenhouse Gas Emissions Allowances and on the operation of the Carbon Market.
  • Assisted Northland Power in bidding on a call for tenders by Hydro-Québec for a 450 megawatt wind farm project.
