Breanne Lehodey is an associate in our Securities and Capital Markets Group in our Vancouver office. Breanne’s practice focuses on corporate and securities law, with an emphasis on mergers & acquisitions for both public and private companies, public and private equity financings and general corporate governance and compliance matters.

Breanne’s experience includes advising clients in private placements, public offerings, corporate reorganizations and acquisitions and dispositions of shares and business assets. Breanne also works with public companies to ensure compliance with securities laws and stock exchange rules, including continuous disclosure obligations and shareholder meetings. In addition, Breanne acts for and advises clients in connection with the formation, management and operation of public and private investment funds in Canada.

• Acted for a syndicate of underwriters in a brokered private placement of units of Liberty Gold Corp. for gross proceeds of $11 million.
• Acted for Lumina Gold Corp. in its brokered private placement of common shares for gross proceeds of $20 million.
• Acted for Finning International Inc. in its $200 million shelf prospectus offering of medium term notes.
• Acted for the CEO and Founder of Payfirma Corporation in his successful proxy fight to remove three directors from the board.
• Acted for Gold Standard Ventures Corp. in its combined short form prospectus offering and private placement of common shares for gross proceeds of $38 million.
• Acts for Canadian-based investment fund managers in connection with the continuous offering of retail investment funds in Canada.
• Acts for various issuers and underwriters in various brokered and non-brokered private placements.
