Toronto (February 28, 2014) — Borden Ladner Gervais LLP (BLG) acted as an advisor in three of the winning transactions at this year's 7th annual Canadian Dealmakers® awards. The Canadian Dealmakers® Awards annually recognize companies for their mergers and acquisitions and corporate finance success. The program honours transactions that have significantly impacted the industry through innovation and growth; establishment of best practices; enhancement of customer needs and products; and creation of value.

BCE Inc. won the 2013 Media & Telecommunications Award for its $3.38 billion acquisition of Astral Media Inc., one of Canada’s last independent media companies. The acquisition provided BCE Inc. with media assets that included television channels such as HBO Canada, the Movie Network and the Family Channel and radio stations across the country. BLG acted for a syndicate of twelve banks co-led by BMO Capital Markets and Canadian Imperial Bank of Commerce in connection with a credit facility in an original amount of $2.5 billion, subsequently reduced to $2 billion. The BLG lawyers instrumental on the deal were: Kenneth S. Atlas and Glen A. Bowman of our Financial Services group.

Hudson’s Bay Company successfully garnered the Foreign Outbound US Award for its acquisition of all of the outstanding shares of Saks Incorporated in an all-cash transaction valued at approximately US$2.9 billion, including debt. The combined company will operate a total of 320 stores, including 179 full-line specialty department stores, 72 outlet stores and 69 home stores in prime locations throughout the U.S. and Canada, along with three e-commerce sites. BLG acted as counsel to West Face Capital Inc. with a team that included: Alfred L. J. Page, William J. E. Jones, David Surat and Habeeb Syed of BLG’s Securities and Capital Markets group and Rick Bennett of the BLG Tax team.

Bonterra Energy Corporation was the recipient of the Energy Award. The company acquired all of the issued and outstanding common shares of Spartan Oil Corporation by way of a plan of arrangement under the Business Corporations Act (Alberta). The acquisition’s value including $8 million of positive working capital and no debt, was approximately $480 million.
