Deal represents largest takeover of a Canadian retailer

Toronto (July 17, 2013) — On July 15, 2013, Loblaw Companies Limited (Loblaw) announced it has entered a definitive agreement to acquire Shoppers Drug Mart Corporation (Shoppers Drug Mart) for $12.4 billion in cash and stock.

Borden Ladner Gervais LLP is representing Loblaw in this acquisition with respect to competition matters, with a team led by partners Robert Russell and Brendan Wong, assisted by associates Denes Rothschild and Zirjan Derwa.

Loblaw is Canada’s largest food retailer and a leading provider of drugstore, general merchandise and financial products and services, with more than 1,000 corporate and franchised stores from coast to coast.

Shoppers Drug Mart is one of the most recognized and trusted names in Canadian retailing (operating under the name Pharmaprix in Québec). With 1,242 Shoppers Drug Mart and Pharmaprix stores in each province and two territories, the company is one of the most convenient retailers in Canada.
