Position Description

The Paralegal performs various legal and administrative duties for the Corporate Commercial Group.

Key Responsibilities

The key responsibilities of this role are:

  • Drafting the documentation required in the context of various common business corporation transactions such as incorporations, organizations, amendment of articles of association, dividend declarations, mergers, continuances, liquidations and dissolutions;
  • Drafting corporate documentation required for the adoption and amendment of general by-laws or other types of by-law, capital descriptions and the purchase and sale of businesses;
  • Preparation of closing agendas and documentation needed for corporate and tax-related transactions;
  • Corporate audits required for business transactions and tax reorganizations;
  • Assisting lawyers in the closing of transactions;
  • Updating data in our corporate database.

Key Competencies Required

  • CEGEP diploma (D.E.C.) in Legal Technology or equivalent experience;
  • At least ten (10) years of experience as a paralegal in corporate and tax law;
  • Knowledge of the Canada Business Corporations Act, the Québec Business Corporations Act and the Act respecting the legal publicity of enterprises;
  • Mastery of French and English (oral and written);
  • Proficiency with Microsoft Word;
  • Excellent judgment, thoroughness and attention to detail;
  • Ability to work both independently and as a member of a team;
  • Ability to work under pressure to meet tight deadlines;
  • A sense of responsibility and proper organization; and
  • Ability to manage priorities.
