Purpose of Role

The Law Clerk will be an important member of the legal team working with the Financial Services lawyers and legal support staff to provide the highest level of client service while having the opportunity to develop their skills as part of a dynamic and successful national team. The ideal candidate must be a team player, have a strong work ethic, a mind-set of continuous improvement, and be a self-starter in a fast paced environment.

The ideal candidate will demonstrate the desire and ability to identify problems and gaps, develop and design creative solutions and will have experience working in a Financial Services environment as a Law Clerk at an intermediate to senior level.

Key Responsibilities

The key responsibilities of this role include:

  • Conduct and review due diligence searches (corporate, PPSA, bankruptcy, etc).
  • Review credit agreements and other related documents to lending transactions.
  • Attend to registrations for PPSA, Bank Act and other registries as required.
  • Coordinate with agents for searches and registrations.
  • Prepare security relating to financing (security agreements, debentures, guarantees, etc) and supporting documents (certificates, resolutions, etc).
  • Communicate with outside counsel, lenders, borrowers and others as required.
  • Attending to internal accounting, wire transfer and other funding matters.
  • Preparing opinions and reporting packages to lenders.
  • Attend to all closing matters, prepare final reports, opinion letters and closing books.

Additional responsibilities of this role may include:

  • Bankruptcy: draft documents for court, prepare/serve motions, organize/maintain litigation files and electronic evidence, prepare supporting documentary evidence, and complete research tasks.
  • Regulatory: insurance licensing, tasks associated with fintech and financial institution regulation, money services business registrations.

Key Competencies Required

  • A graduate of a recognized law clerk or paralegal certificate or degree program.
  • A minimum of 5 years of relevant experience as a Financial Services Law Clerk. Other relevant experience will also be considered in lieu of experience as a law clerk.
  • Strong computer and electronic document skills, including Microsoft Word, Outlook, Closing Folders, DocuSign and Adobe.
  • Well organized with strong analytical skills and able to work with minimal supervision.
  • Strong interpersonal skills and a team player
  • Excellent communication skills, both verbal and written.
  • A strong work ethic and commitment to excellence.
