Purpose of Role

The Corporate Commercial Paralegal works as part of our CCG team assisting in routine to complex matters in the area of Corporate Commercial Law under the supervision of a Corporate Commercial lawyer. CCG Paralegals also perform a variety of general legal and administrative duties in support of their files and the CCG Practice group.

Key Responsibilities

Everyone at BLG is required to carry out the duties of their role while upholding the important principles of our Respectful Workplace Policy, and treating everyone with respect, regardless of position.  The key responsibilities of this role include:

  • Draft share conditions on instructions from lawyer, client and/or accountant
  • Review and consider calculation and other issues relating to documentation of various types of dividends
  • Draft meeting agenda, applicable resolutions and minutes for AGM
  • Draft acquisition/merger transaction documents
  • Draft corporate and tax reorganization (ITA ss 51, 85, 86, 97) and restructuring transaction documents
  • Register and maintain extra-provincial registrations, partnerships, limited partnerships and business names
  • Coordinate with various Corporate Registries and law firms/agencies regarding filing and other issues
  • Conduct corporate due diligence and report
  • Liaise with clients, accountants and Canada Revenue Agency officials on examination and review of corporate records
  • Analyze corporate charter documents and records to ensure compliance with governing statute and make recommendation on relevancy and remedial actions
  • Research and interpret applicable legal and technical procedures, statutes, and regulations
  • Review audit material and prepare audit letters in response to audit enquiries

Key Competencies Required

  • Have a minimum of ­­8 years of experience as a corporate commercial paralegal
  • Advanced knowledge of corporate and tax transition work
  • Advanced knowledge of BC and Federal corporate statutes, regulations, policies for Federal and BC companies, Federal not-for-profits and BC societies, BC limited partnerships and others
  • Exceptional legal writing skills, written and verbal communication skills

Other Requirements

  • A graduate of a recognized paralegal certificate or degree program
  • Strong organizational, investigative, fact-finding and problem solving skills
  • Strong computer skills, particularly with Windows-based computer systems including Microsoft Word, Excel, outlook and Adobe.
  • Self-motivated and proactive in assisting clients and lawyers
  • Able to work independently and as a team member
  • Ability to handle pressure and to remain calm when working within time constraints
  • Be well organized with strong analytical skills and able to work with minimal supervision.
  • Committed to the responsibilities of a complex practice
  • A strong work ethic and commitment to excellence.
