Executive Summary

Stephen Robertson is a partner in BLG's Securities and Capital Markets Group. Stephen's practice is focused on advising clients in respect of corporate finance transactions, M&A transactions and corporate governance matters. Stephen also has considerable experience advising clients in respect of proxy battles, and works with a number of investment management related clients in establishing and managing investment funds.

Stephen works for clients in a number of industries, including cryptocurrencies, blockchain, biopharmaceutical, mining and cannabis.

Representative Work

  • Acted for Imperial Metals Corporation in its sale of a 70% interest in the Red Chris mine in British Columbia to Newcrest Mining Limited for US$806.5 million and a follow-on joint venture between the parties for the ongoing operation of the Red Chris mine.
  • Acted for Aurinia Pharmaceuticals Inc. in its US $173 million prospectus offering and US $52 million private placement offering.
  • Acted for Rubicon Organics Inc. in its $13.2 million special warrant offering.
  • Acted for Glance Technologies Inc. in its defence against a dissident slate of directors at an AGM.
  • Acted for BIG Blockchain Intelligence Group Inc. in its reverse takeover acquisition of Acana Capital Corp. and subsequent $17 million private placement financing.
  • Acted for First Coin Capital Corp. in its merger transaction with Galaxy Digital and Bradmer Pharmaceuticals Inc.
  • Acted for Anfield Nickel Corp. in its concurrent sale of the Coringa Project to Serabi plc and its merger transaction with Trek Mining Inc. and NewCastle Gold Corp. to form Equinox Gold Corp.
  • Acted for Northern Property Real Estate Investment Trust in its $45-million short-form prospectus offering.
  • Acted for Finning International Inc. in its $200 million shelf prospectus offering of medium term notes.
  • Acted for Central 1 Credit Union in its $150 million offering of floating rate notes.
  • Acted for a number of issuers and underwriters in various brokered and non-brokered private placements ranging from $2 million to $50 million.
  • Acted for Eldorado Gold Corp. in its $2.5-billion acquisition of European Goldfields Limited by way of plan of arrangement.
  • Acted for K+S Aktiengesellschaft in its $430-million acquisition of Potash One Corp. by way of take-over bid.
