On November 24, 2001, the federal Parliament amended the Canada Business Corporation Act 1 (the "CBCA") and its regulations. This was the first major revision of the CBCA since it was enacted in 1975. The amendments are wide-ranging, and include provisions designed to modernize the CBCA, enhance the competitiveness of CBCA corporations, expand shareholder rights, harmonize the CBCA with provincial securities laws, and modify the duties and liabilities of CBCA corporation officers and directors.
