Executive Summary

Jason Wang is an associate in our Securities and Capital Markets Group in our Calgary office. Jason's practice is focused on securities and corporate law across all industries, with an emphasis on corporate finance, mergers and acquisitions, asset and share purchases, financing transactions including public and private offerings of debt and equity securities; and compliance with both corporate and securities regulatory requirements relating to stock exchange listings, corporate governance, continuous disclosure obligations, and shareholders' meetings. Jason speaks conversational Mandarin.

Jason has acted for public and private companies and investment dealers on a range of acquisitions, securities offerings, and other corporate transactions. Jason's experience in corporate finance includes advising issuers and investment dealers on public and private offerings of debt and equity securities, both domestically and cross-border.

Jason is also member of the BLG Cannabis Industry Focus Group representing a variety of industry participants in relation to the Controlled Drugs and Substances Act and its regulations, including the Access to Cannabis for Medical Purposes Regulations (the "ACMPR"), including both public and private companies that are licensed producers, licensed producer applicants, licensed dealers, research and development labs, e-commerce platforms, and design and build firms. Jason's understanding of the ACMPR and other applicable law, his close attention to the Cannabis Act, and his familiarity with the Canadian cannabis industry and its participants, each add value when advising domestic and foreign clients.

Representative Work

  • Acts as counsel to various capital pool companies in connection with incorporation, private financing, initial public offerings, stock exchange listings, and qualifying transactions.
  • Acts for a variety of public companies in the Canadian cannabis industry with regards to compliance with both corporate and securities regulatory requirements relating to stock exchange listings, corporate governance, continuous disclosure obligations, and shareholders' meetings.
  • Advises Canadian and international cannabis companies in relation to the Access to Cannabis for Medical Purposes Regulations and the Narcotic Control Regulations.
  • Represents companies in mergers and acquisitions, including plans of arrangement, amalgamations, and share purchase transactions.
  • Acts for companies across all industries in governance and compliance with corporate and securities regulatory requirements.
  • Acts for issuers, underwriters and agents in connection with public and private equity and debenture financings.
  • Acts for investment fund managers in connection with the creation of pooled mutual funds and private equity funds.
  • Acts for exempt market dealers in connection with registration with the securities commissions.
