Robert Wallis is a senior associate in our Securities and Capital Markets Group and Investment Management Focus Group in our Vancouver office.

Robert's practice is focused on advising clients engaged in all aspects of the investment management industry, including investment fund managers, portfolio managers and dealers. He has experience advising clients in connection with the formation, management and operation of public and private investment funds in Canada, and the offering of their securities in public offerings and private placements. Robert also advises clients engaged in the investment management industry on matters relating to registration under Canadian securities laws.

In addition, Robert acts for public and private companies and underwriters in connection with mergers & acquisitions, public offerings and private placement transitions. He also advises companies on general corporate matters, disclosure obligations and corporate governance matters.

  • Acted for Lumina Copper Corp. in connection with its $470-million acquisition by First Quantum Minerals Ltd.
  • Acted for Boston Pizza in connection with a related party transaction and a $110-million public offering.
  • Acted for Eldorado Gold Corporation in connection with its $2.5-billion acquisition of European Goldfields Limited.
  • Acted for Huntingdon Capital Corp. in connection with its $210-million acquisition by Slate Capital Corporation.
  • Acted for Miedzi Copper Corp. in connection with a $100-million private equity financing.
  • Acted for Vista Gold Corp. in connection with a $30-million bought deal public offering.
  • Acted for underwriters in connection with a $28-million bought deal public offering of Timmins Gold Corp.
  • Acted for a number of issuers and underwriters in connection with various brokered and non-brokered private placements ranging from $1-million to $30-million.
