Paul has acted for numerous Vendors and Purchasers with respect to the disposition and acquisition of significant real estate assets including without limitation office buildings, industrial lands, and bare lands. Paul has assisted his clients with all aspects and through all stages of the commercial real estate transaction including without limitation assisting his clients with: completing due diligence, drafting and negotiating the Purchase and Sale Agreement, preparing and negotiating closing documents, addressing various transaction specific issues that have arisen, clearing title of non-permitted encumbrances, and closing the transaction.
Paul has reviewed, prepared, and negotiated Lease Agreements on behalf of Landlords, Brokers, and Tenants, including without limitation, Office Leases, Industrial Leases, Residential Leases, Retail Leases, Solar Farm and Wind Farm Options to Lease and Leases. In addition, Paul regularly advises clients with respect to various Lease enforcement matters that arise from time to time.
Paul has acted for Developers with respect to the development of Residential, Multi-Residential, Mixed- Use, Condominiums, and Commercial Projects.
Paul also regularly acts for Lenders and Borrowers with respect to various loan transactions and the preparation of related security. Paul has also acted for significant financial institutions with respect to the disposition and acquisition of large loan portfolios secured by assets across Canada.
Paul has recently presented on two recent Supreme Court of Canada cases,
Sattva v. Capital Corp. v. Creston Moly Corp., 2014 SCC 53 with respect to the “factual matrix” and its importance with respect to contractual interpretation, and
Bhasin v. Hrynew, 2014 SCC 71, with respect to the duty of honest contractual performance.
