James has a diverse background in both financial services and private company work. He acts for public and private companies engaging in domestic and international mergers and acquisitions, private equity and corporate finance transactions, as well as advising clients on matters of corporate governance, reorganization, privacy and information laws, consumer protection, debt collection, security documentation and other corporate and commercial matters.

James' prior experience in the insolvency and restructuring space also leaves him uniquely positioned to advise on distressed M&A and transactions involving complex creditor financing arrangements.

Representative Work

  • Represents clients in Canada, the United States and the U.K. in the acquisition, reorganization and divestiture of Canadian businesses, assets and operations.
  • Represents private equity clients investing in Canadian businesses and start-ups.
  • Acted for the parent company in the acquisition of a $300 million interest in WIND Mobile Corp.
  • Acted for the lead investor in a $60 million private placement in Hootsuite Media Inc.
  • Acted for the lead investor in a $30 million private placement in D-Wave Systems Inc.
  • Acted for the first-ranking creditor in an $80 million court-ordered agricultural receivership.
  • Acted for the court-appointed liquidator in the winding-up of a large Canadian real-estate business.
