Executive Summary

Véronique St-Amand is a member of the Business and Corporate Law Group in our Montréal office. Her well-established practice combines general commercial law with transactional law and financial services.

In practising law in the financial services field, Véronique acts for financial institutions and for borrowers in the drafting and negotiation of documentation required for the establishment of various credit facilities and security arrangements, at both the national and international levels. She is involved, inter alia, in arranging operating credits, the financing of particular projects and acquisition financing. She also acts as a legal advisor in venture capital financing matters.

In addition, Véronique has a transactional and commercial practice that includes the drafting and negotiation of commercial contracts of all types, including shareholder agreements and particular service agreements. To date, she has participated in a number of transactions involving businesses operating in different sectors of activity, notably in healthcare, forestry, telecommunications and technology.

Representative Work

  • Acted for a major corporation in the field of telecommunications infrastructure, in arranging for a first syndicated bank loan totalling over $100 million.
  • Acted as legal advisor in the acquisition of Cad Railway Industries by its management and arranging the financings required for such acquisition.
  • Acted for the purchaser in the acquisition of various pulp and paper plants and sawmills located in Québec and in arranging for public financing totalling more than $100 million. each for those acquisitions and the subsequent conversion of the plants in question.
  • Represented corporations owning fibre optics networks in Québec and Ontario in their merger with a competitor and in the investment in that new company made by a private fund.
