Executive Summary

Karen Salmon (nee McHugh) practises commercial litigation with an emphasis on the energy industry, including oil & gas and electricity in both litigation and regulatory matters. Karen also practises in the areas of class actions and banking litigation, with an emphasis on fraud matters, and is Calgary Regional Leader of the National Class Action Focus Group.

In the area of energy, Karen advises energy companies in litigation related to oil & gas operations, environmental contamination matters, contracts, acquisitions and divestitures, and mineral ownership and title disputes.  She also acts for electricity clients in regulatory proceedings as well as on unregulated matters, and for oil & gas clients in environmental matters. She is involved with BLG’s Team North®.

Karen does both trial and appellate work and has appeared before the Alberta Court of Queen’s Bench, the Alberta Court of Appeal, and the Supreme Court of Canada. Before being called to the bar, she clerked with the Alberta Court of Appeal and the Alberta Court of Queen’s Bench, then joined Howard Mackie LLP, one of BLG’s five founding firms.

Representative Work

  • Counsel to ConocoPhillips Canada Resources Corp. on issues related to ownership of natural gas from coal, including successful proceedings before the Alberta Court of Queen’s Bench and Alberta Court of Appeal. 
  • Counsel for electricity generation/transmission utility in Northwest Territories on regulatory and other matters including matters before the NWT Public Utilities Board. 
  • Acting for one of Canada’s largest integrated energy companies in various litigation matters including those related to joint operating and reserves dedication agreements, and in a dispute related to CAPL, involving processing arrangements and right to take in kind. 
  • Counsel for oil & gas clients on environmental contamination matters.
  • Acts for a North American energy producer on various litigation matters including in relation to a divestiture dispute, a dispute over validity of lease hold interests and a dispute over entitlements to government incentives on an acquisition.   
  • Acts for oil & gas clients in both upstream and downstream matters related to rights of first refusal, royalty agreements, and matters arising out of acquisition and divestitures. 
  • Acts for oil & gas clients on regulatory matters before the Energy Resources Conservation Board.
  • Acts for electricity generation companies in regulatory proceedings before the Alberta Utilities Commission and in arbitration proceedings concerning their Power Purchase Arrangements.
  •  Acted for ConocoPhillips Canada Resources Corp. as co-counsel in multiple split-title oil & gas cases in relation to ownership of evolved natural gas (including successful proceedings before the Supreme Court of Canada). 
  • Defended a major financial institution in class actions proceedings related to a fraudulent investment scheme.
  • Represented banks and other financial institutions in relation to fraud matters.
  • Advises clients in relation to corporate takeovers, shareholder disputes, corporate oppression claims and securities litigation matters.
  • Defended a major manufacturer of breast implants in product liability matters.
