Executive Summary

Miles Pittman is a partner in the Calgary office and is a member of our energy and corporate / commercial groups.

He advises energy sector transaction parties and project proponents on acquisitions and divestitures, corporate transactions, and project structure and development.

He has led significant transactions in the upstream, midstream and oilfield service sectors, and has advised on virtually all aspects of the LNG value chain. He has particular expertise in transactions involving engineering companies. He has also played a lead role in significant restructuring transactions.

Representative Work

Mr. Pittman has recently advised:

  • Wood Group on its Canadian operations, including the recent acquisitions of Beta Machinery and Controls, and Sunstone Projects.
  • Nexen Energy ULC (a subsidiary of CNOOC Limited) on ongoing matters, including the Aurora LNG project.
  • China’s ENN Group, with respect to its investment in the Douglas Channel LNG Project.
  • Pacific Energy Corp. (formerly Pacific Rubiales Energy) in its acquisition of Peruvian interests from BPZ Resources Ltd., and on other international upstream matters.
  • Brion Energy Corporation on numerous matters.

Further, Mr. Pittman advised:

  • Petro-Canada in numerous matters, including the sale of its interest in the Brazeau and West Pembina gas facilities and associated reserves to Blaze Energy Ltd.
  • Pogo Producing Company, in its US$1.8 billion acquisition of 30,000 bbl/d Calgary-based Northrock Resources Ltd. from Unocal Corporation and the subsequent US$2 billion sale of the company to Abu Dhabi National Energy Co. (TAQA).
  • Bukit Energy Ltd., with respect to its farmout arrangements in Indonesia with Pacific Petroleum.
  • Veraz Petroleum Ltd., in its licensing and farmout arrangements in the Uyacali basin in Peru, with PeruPetro and Petrominerales Ltd.
  • Aecon Group Inc., the Canadian-based construction firm, in its acquisition of South Rock Inc., one of Canada’s largest private asphalt and paving enterprises, with follow-on acquisitions.
