Nick Pasquino has a broad corporate and commercial practice, with an emphasis on mergers and acquisitions, divestitures, reorganizations, joint ventures, and partnerships.

Nick advises privately held businesses across a multitude of sectors, including leading participants in the automotive, manufacturing, technology, logistics, leasing, foodservices, veterinary and professional services industries.

Nick also regularly advises U.S. and international businesses on establishing new businesses in Canada, including tax efficient structuring of subsidiary corporations, and advice on all aspects of Canadian commercial operations. 

Nick also regularly advises significant not-for-profit organizations and charities on corporate, commercial and governance matters.

Nick both summered and articled with BLG, and as a student-at-law he was seconded to Scotiabank's General Counsel's Office.

Representative Work

M&A and Corporate Mandates

  • Advised and acted for Oliver & Bonacini Restaurants in connection with an equity investment by the Katz Group in the O&B restaurant and foodservices business and related matters.
  • Advised and acted for Wakefield Canada Inc. in its acquisition of Castrol Canada Inc. from BP Lubricants USA Inc., in its negotiation of exclusive Canadian distribution rights to all SuperClean branded products, and with respect to various ongoing commercial matters.
  • Advised and acted for Evonik Degussa Corporation and Evonik Canada Inc. in connection with the purchase of substantially all of the assets of Kemira Chemicals Canada Inc.
  • Advised and acted for a US investment fund in its acquisition of a steel manufacturing facility in Welland, Ontario, and in connection with the negotiation of various revolving and term credit facilities and related matters.
  • Advised and acted for a Norwegian public company on the divestiture of its Canadian and United States construction and engineering businesses.
  • Advised the controlling shareholders of a Toronto-area Volvo and Jaguar dealership on the sale of the dealership business and related matters.
  • Advised and acted for a variety of Ontario veterinarians in all business aspects of the practice, including the Mississauga Oakville Veterinary Emergency Hospital and its affiliates in connection with its reorganization as a limited partnership and related matters, and the purchase and sale of several sizeable veterinary businesses in the Greater Toronto Area.
  • Advised and acted for the foreign owners of Train Trailer Rentals Limited, a national trailer leasing company, in connection with its sale to an affiliate of West Van Inc.
  • Advised and acted for Trailer Wizards Ltd. in connection with various corporate and real property transactions and related matters.

Not For Profit & Charity Mandates

  • Advised and acted for an Ontario university foundation in connection with the transfer of substantially all of its assets (including a multi-million dollar endowment) to the university and integration of the operations and staff of the foundation into the university's division of advancement.
  • Advised several Ontario public hospitals in connection with intellectual property commercialization transactions, use of excess real estate asset transactions, joint venture arrangements with for-profit businesses, and other revenue-generating activities.
  • Advised an Ontario public hospital in connection with the transfer of assets, liabilities and responsibility for operations to a neighbouring public hospital.
  • Advised a multitude of non-share capital corporations in connection with governance matters including the transition to the Canada Not-for-Profit Corporations Act or the Not-for-Profit Corporations Act, 2010 (Ontario).
  • Advised on the formation, organization and ongoing governance of new significant national not-for-profit/charitable organizations and private family foundations.
