Patrice Martin is a partner and the Montréal Regional Manager for the Business and Corporate Commercial and Securities and Capital Markets Groups at Borden Ladner Gervais LLP. He focuses on mergers and acquisitions, corporate law and technology law. Patrice acts as leading counsel on acquisitions and sales of private businesses, capital investments, outsourcing arrangements, strategic alliances and technology development and licensing. Patrice has led or participated in transactions in several industries, including information technology, telecommunications, aerospace, energy, infrastructure, transportation, manufacturing and consulting.

Patrice was previously the Montréal Regional Manager for the Corporate Commercial Law Group (2008-2011) and a member of the Partners' Compensation Regional Committee (Montréal, 2007-2010).

  • Advised Cycle Capital and Fonds de solidarité FTQ in respect of a VC investment in Power Survey and Equipment Ltd.
  • Advised Bell Media in the acquisition of Cieslok Media Ltd. (media/out-of-home advertising) from Clairvest Fund.
  • Lead counsel for Cycle Capital and Desjardins-Innovatech in their participation to a $38.8M series B financing lead by TPG Alternative and Renewable Technologies (TPG ART) in Inocucor Corporation.
  • Lead counsel for Fonds de Solidarité FTQ in respect of a VC investment in Kaloom Inc. (Montreal/Silicon Valley software venture).
  • Lead counsel for Marketel-McCann and its majority shareholders in the sale to McCann Canada (media/advertising)
  • Lead counsel for Cycle Capital and Desjardins-Innovatech for VC investment rounds in Airex Energy (cleantech).
  • Lead counsel for CelluForce Inc. in a financing and strategic alliance agreement with Fibria Cellulose S.A. (Brazil).
  • Lead counsel for AdGear Technologies and its shareholders in the sale to Samsung Electronics (adtech).
  • Lead counsel for Bell Media in the acquisition of Metromedia from Cogeco.
  • Lead counsel for BDC Capital, I-Source and Desjardins on VC investment rounds in Leddartech (cleantech).
  • Lead counsel for BDC Capital (Growth and Transition) on investments in Budge Studios (games).
  • Advised Siama Systems, Panache Digital Games and others on early financing rounds.
  • Acting for Birks Group in the sale of its Corporate Sales Division to Rideau Recognition Solutions.
  • Acting for CelluForce (joint venture between Domtar and FPInnovations) in the context of Schlumberger's equity investment and  SDTC (Sustainable Development Technology Canada) funding.
  • Assisting Anixter Canada in the sale by Anixter of OEM Supply –Fasteners segment for $380M.
  • Acting for a large telecommunication corporation in the negotiation of a Consortium for the deployment and management of fibre optic network.
  • Advising BDC Capital, GO Capital and other venture capital investors in various venture capital investments and exit transactions.
  • Advising founders/CEOs of various privately-held corporations in the divestiture of their respective equity position.
  • Advising L-3 MAPPS on contract negotiation for the Royal Canadian Navy's Arctic/Offshore Patrol Ship Project.
  • Acting for Bell Media in the negotiation of a joint venture with Cirque du Soleil for the creation of the Cirque du Soleil Media Limited Partnership.
  • Acting for AdGear Technologies in the negotiation of a license and service agreement for AdGear's Edition+ tablet ad management platform to power advertising in La Presse+ tablet edition.
  • Acting for FPInnovations in a project with Kruger to implement an innovative wood-fibre based biomaterial (cellulose filaments) demonstration plant.
  • Assisting Bell Canada in the negotiation of a telecommunication services outsourcing and fiber network deployment agreement with a publicly traded Canadian company.
  • Representing several major Canadian telecommunications providers in a complex infrastructure co-ownership and management arrangement.
