Executive Summary

Xiaodi Jin is a senior associate in our Securities and Capital Markets group in Calgary. His practice focuses on mergers & acquisitions, corporate finance and securities, corporate structuring and governance.

Xiaodi acts for both vendors and purchasers in public and private M&A transactions, including acting on a significant number of recent M&A transactions involving PRC based entities. Xiaodi acts for both issuers and dealers in public and private debt and equity corporate finance transactions. He also works with public companies to ensure compliance with securities laws and continuous disclosure obligations.

Xiaodi serves as corporate secretary to a number of private companies.

Recent M&A transactions Xiaodi has been involved in include:

  • International Paper in its US$2.2 billion acquisition of the cellulose fibers business of Weyerhaeuser;
  • Shanghai Energy in its acquisition of the BC assets of Endurance Energy;
  • Sequoia Resources in its acquisition of the shallow eastern gas assets of Perpetual Energy;
  • Tangle Creek Energy in its acquisition of Beringer Energy;
  • Rising Star Resources in its initial capitalization and acquisition of the Peace River assets of Petrus Resources;
  • Hawk Exploration in its sale to Kaisen Energy;
  • Point Loma in its recapitalization, acquisition of the central Alberta assets of Madalena Energy and reverse take-over of First Mountain Exploration;
  • Sinoenergy in its $770 million acquisition of Long Run Exploration;
  • New Star Energy in its $215 million sale to Sinoenergy; and
  • Legacy Oil + Gas in its $1.53 billion sale to Crescent Point Energy.
