Executive Summary

Dyana Janes is counsel to the National Managing Partner and is located at the Toronto office of Borden Ladner Gervais LLP. In this role, Dyana provides primary organization, analysis, planning and implementation support to the National Managing Partner. In addition, Dyana organizes and coordinates the meetings of BLG's Partnership Board, National Management Committee and other national firm committees, and acts as secretary for all meetings.

Prior to taking on her current role, Dyana was a partner in the Securities and Capital Markets Group, with an emphasis on transactions and mergers and acquisitions. She was also a member of the Corporate Finance, Corporate Governance, and Mergers and Acquisitions Groups.

Dyana articled with the Calgary office of BLG. She joined the Toronto office in September 2001.

Representative Work

  • Held responsibility for negotiating dealer and underwriting agreements, including the preparation of key offering documents; regularly supervised the completion and closing of various corporate finance transactions.
  • Completed the review of annual disclosure documents (including Annual Information Forms and Management's Discussion and Analysis) for public issuer clients; made arrangements for and oversaw the filing of such documents with the appropriate securities regulatory authorities.
  • Led the negotiation of the acquisition of a private company by a public issuer client; supervised the closing of the transaction.
  • Led the negotiation of the agency agreements and was responsible for the preparation of the offering documents in connection with the offering of debt instruments by private issuers; supervised the closings of the offerings.
  • Served as primary client contact for several public issuer clients with respect to day-to-day corporate issues, such as insider report filings, continuous disclosure filings, compliance with policies of the securities regulatory authorities and the TSX, and the establishment and maintenance of various incentive programs, such as dividend reinvestment plans.
