Executive Summary

Sharagim Habibi is an Associate in the Calgary office of Borden Ladner Gervais LLP where he practices in the Securities and Capital Markets Group, Corporate Commercial Group and Investment Management Group.

With a focus on securities and corporate-commercial law, Sharagim’s practice includes:

  • Advising public and private companies as well as investment funds on a broad range of matters concerning securities law, corporate law and stock exchange policies.
  • Advising clients on general corporate and commercial law issues.
  • Advising companies on compliance, corporate governance, contracts and inter-company relationships.
  • Acting for clients on transactions including mergers, acquisitions, dispositions, financings and offerings.

In addition to acting for more established public and private companies, Sharagim enjoys advising non-profit organizations, small businesses, entrepreneurs and start-up companies on corporate matters including incorporation and structuring, raising capital, and the purchase and sale of businesses.  Sharagim also acts on litigation matters, in limited circumstances.

Prior to practicing law, Sharagim spent several years working in the insurance and financial investment sectors where he worked with public and private companies of various sizes from different industries. Through this work experience, he developed expertise in business consulting, business development, risk management and market analysis.

Sharagim Habibi has advised a wide range of listed, private and non-profit organizations as well as investment funds in the following areas:

  • Listing of issuers on the Toronto Stock Exchange and TSX Venture Exchange.
  • Transfer and cross-listing of issuers among exchanges, including the Toronto Stock Exchange, TSX Venture Exchange, NEX board, New York Stock Exchange and NASDAQ.
  • Private placement of securities pursuant to various prospectus exemptions.
  • Public offerings including initial public offerings, issuer bids, rights offerings, and other equity offerings and debt offerings.
  • Acting for agents and underwriters in respect of private placements and public offerings.
  • Registration, compliance and ongoing securities law obligations of funds, securities dealers and other registrants.
  • Mergers and acquisitions including plans of arrangement, amalgamations, share purchase transactions and asset purchase transactions.
  • Organizing, reorganization and restructuring of corporations, partnerships, trusts, limited liability companies and other entities.
  • Preparation of continuous disclosure documents, circulars, short form prospectus offerings, long form prospectus offerings and associated press releases.
  • Preparation of transaction and corporate documents, including a wide range of commercial agreements.
  • Capital Pool Companies (CPCs) and related qualifying transactions.
  • Specialized trust law including Real Estate Income Trusts (REITs), mutual fund trusts and income trusts.
  • Cross border and multi-jurisdictional transactions.
  • Anti-money laundering, Proceeds of Crime (Money Laundering) and Terrorism Financing Act (PCMLTFA) and the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC).
  • Issues in respect of the Access to Cannabis for Medical Purposes Regulations (ACMPR), Marihuana for Medical Purposes Regulations (MMPR), Narcotic Control Regulations, the Cannabis Act, and the adult use and medical cannabis (marijuana) industry.
  • Assisting entities with capitalization and raising funds.
  • Corporate and securities law issues in respect of litigation.
