Executive Summary

Patricia Galella is a partner in our Business and Corporate Commercial Group. She focuses her practice on mergers and acquisitions, infrastructure projects and corporate commercial law. Patricia has led or participated in public-private infrastructure projects, as well as in a broad range of commercial transactions involving the sale or acquisition of businesses, corporate reorganizations, joint ventures and outsourcing agreements in numerous industries including hospitality management, multi-residential properties, telecommunications, energy and retail.

Patricia is the Montreal Regional Chair of our Privacy and Data Protection Group. She has advised various clients with regard to rendering their activities, practices, websites and commercial documents compliant with privacy laws.

Representative Work

  • Advised Société québécoise des infrastructures in connection with the design, construction, financing and maintenance of the AMT Train Maintenance Centre Project in Pointe-St-Charles.
  • Advised the design-builder in connection with the Champlain Bridge Replacement Project.
  • Advised a member of the successful bidding consortium of the Hydro-Québec Data Centre Project.
  • Advised Capstone Power Corp. in connection with the design, construction, installation and commissioning of the 24MW Saint-Philémon Wind Farm Project.
  • Advised Eaton Vance Corp., one of the oldest investment management firms in the United States, in respect of the acquisition of an equity interest in Hexavest Inc.
  • Advised Toys "R" Us Canada in its negotiation of an outsourcing agreement with SCI Logistics Inc. in respect of the creation of a distribution centre. 
  • Advised RePower Systems in connection with the design, construction and installation of the Rivière-au-Renard Wind Farm in Gaspé, Québec.
  • Advised Nokia Siemens Networks Canada Inc. in the negotiation and implementation of a $250-million contract for the design, construction and provision of an advanced wireless network for Videotron Ltée.
  • Advised the successful bidding consortium on the construction, financing and operation of Québec's A25 Highway (approx. $207 million P3 project).
  • Advised Chartwell Seniors Housing REIT in connection with the development, acquisition, financing and management of more than 20 seniors' housing residences.
  • Advised key players in the hospitality management industry in respect of the acquisition, financing and management of hotels.
  • Advised the lead underwriter and the banking syndicate in connection with the $234-million initial public offering and private financing of Innergex Power Income Fund.
