Executive Summary

Counsel in BLG's Electricity Markets and Corporate-Commercial Groups. Bernadette is extensively involved in the corporate and commercial aspects of the power sector.  She has advised clients in significant mergers and acquisitions, share and asset purchases, joint ventures and other investment vehicles including limited partnerships, corporations and trusts, having a particular focus and knowledge in power projects (renewable and non-renewable) and electric utilities.  She considerable experience acting for a wide range of stakeholders including distributors, generators, transmitters, commercial users, retailers and municipal shareholders in a variety of commercial transactions.  Bernadette also advises in the areas of district energy, climate change and with respect to the physical purchase and sale of electricity and natural gas, and associated financial products of hedges and swaps.

Prior to joining BLG, Bernadette was general counsel to a major electricity distributor.  She was responsible for directing all legal affairs of the corporation and its subsidiaries, and as part of the executive team, provided legal and governance advice to senior management and the board of directors.

Representative Work

  • Advised power generators on a wide range of corporate and commercial matters, including mergers and acquisitions and provincial procurement initiatives (e.g., FIT Program).
  • Advised local distribution companies on mergers and acquisitions, corporate governance and structuring matters, and a wide range of commercial matters, including compliance with regulatory requirements.
  • Advised energy retailers on a wide range of commercial matters, including regulatory compliance and licensing requirements.
  • Negotiated, drafted and advised on energy trading contracts (financial and physical, including OTC-derivative/ISDA-based) and gas and electricity purchase (wholesale and retail) agreements on behalf of suppliers and major industrial users trading in electricity with domestic and international counterparties.
  • Advised on district energy matters, including representing owners of multi-residential dwellings in energy efficiency management contract negotiations and suppliers of thermal energy. Negotiated and drafted energy-efficiency performance contracts.
  • Advised on a wide range of energy regulatory compliance matters.
  • Advised on proposed and existing regulatory regimes relating to mandatory greenhouse gas emissions reductions.
  • Advised on purchase agreements for emission reductions.
  • Advised on wide range of corporate transactions, including share and asset sales, reorganizations, mergers and amalgamations.
  • Advised on shareholder and partnership agreements, including corporate governance matters.
