Executive Summary

Peter Bryan is a partner in our Corporate Commercial Group in our Calgary office. Peter focuses his practice on the formation, financing, purchase and sale of corporations, partnerships and joint ventures with particular emphasis on oil & gas transactions and energy infrastructure projects. He advises clients on all commercial aspects regarding the purchase and sale of assets and shares, corporate governance and competition issues, the acquisition and divestiture of oil & gas properties, and the development and approval of midstream energy infrastructure.

Before joining BLG in June 2011, Peter was Senior Legal Counsel, Major Energy and Infrastructure Law and Manager of Pipeline Business Development for a large energy infrastructure company.

Representative Work

  • Assisted in advising Texas-based HollyFrontier Corporation in connection with its proposed acquisition of Suncor Energy's Petro-Canada Lubricants business for CAD $1.125 billion​.
  • Represented start up company in $7M acquisition of upstream oil and gas assets​.
  • Represented the​ world’s largest mining services provider in connection with oilsands services agreement with Suncor, including related joint venture and equipment leasing arrangements​.
  • Prepared advanced ruling certificate and advised large upstream purchaser on competition issues relating to $625M oil and gas asset transaction.
  • Advised food producer on competition issues of participation in industry organization​.
  • Advised Vendor in sale of commercial cleaning business to U.S. based Purchaser.
  • Represented Private Equity investor in acquisition of Alberta oil and gas properties.
  • Advised large upstream Vendor with respect to competition issues related to sale of oil and gas unit assets.
  • Advised anchor shipper on commercial agreements for development, transportation, and operation of pipelines supporting LNG export project.
  • Advised large energy infrastructure company on the acquisition and development of a gas-storage asset.
  • Advised foreign investor on $200 million acquisition of oil and gas properties in Alberta
  • Advised purchaser in $80-million acquisition of oil & gas properties in Saskatchewan and Manitoba.
  • Advised purchaser in $31-million acquisition of Alberta oil & gas properties.
  • Advised executives and board of directors of a large energy infrastructure company on corporate structuring alternatives.
  • Represented shipper in negotiation of transportation agreement for US Midwest gas pipeline.
  • Revised asset-operating agreements and governance policies for US public limited partnership.
  • Advised US public limited partnership on acquisition of limited-liability corporation interests from sponsor parent corporation.
  • Legal counsel to an energy infrastructure company, and manager of joint venture legal team, for four Liquefied Natural Gas terminal projects.
  • Negotiated and drafted joint venture, technology licence, marine transportation tariff, and agency agreements for marine-based compressed natural gas projects.
  • Represented bidder in auction of California-based power assets, including power-purchase agreement and transmission access agreements.
  • Negotiated and drafted lease for oil terminal and pipeline interconnects for an oil pipeline project.
  • Advised purchaser in acquisition of Alberta-based natural gas pipeline assets.
  • Advised purchaser in a bid for southeastern US pipeline company.
