Executive Summary

Melanie Bradley is a partner in our Securities and Capital Markets Group in our Vancouver office. She advises public and private companies on a variety of matters including, financings, mergers, acquisitions, takeover bids and reorganizations; mining joint ventures; derivatives documentation (including ISDAs and repurchase agreements); and regulatory compliance. Melanie also advises issuers with respect to public offerings and private placements, particularly issuers whose securities are listed in more than one country. Melanie focuses her practice on four sectors: mining, transportation, technology and media and entertainment.  

Representative Work

  • Acted as counsel to Boston Pizza in a reorganization of its business that resulted in the succession of the ownership of Boston Pizza and a reorganization of the other jointly held assets of Mr. Treliving and Mr. Melville.
  • Acted as counsel to Rainbow S.r.l. in its acquisition of Bardel Entertainment Inc.
  • Acted as counsel to Digital Domain in its acquisition of Immersive Ventures.
  • Acting as counsel to K+S Aktiengesellschaft in connection with logistics for the development of its $2.6-billion Saskatchewan-based potash mine.
  • Acted as counsel to Boston Pizza in connection with a related party transaction and a $110-million public financing.
  • Acted as counsel to K+S Aktiengesellschaft in its $434-million acquisition of Potash One Inc. by way of take-over bid.
  • Acted as counsel to Vista Gold Corp. in the creation of Allied Nevada Gold Corp. by way of plan of arrangement.
  • Acted as counsel to Vista Gold Corp. in the business combination resulting in the formation of Midas Gold Corp.
  • Acted as counsel to POSCO Canada Ltd. in connection with its joint venture with Fortune Minerals Ltd. to contribute $181 million to the Mt. Klappan anthracite metallurgical coal project.
  • Acted as counsel to Miedzi Copper Corp. in connection with a $100-million private equity financing.
  • Seconded to a credit union for 5 months as in-house counsel.
