Executive Summary

Shantela Blaeser is a partner in our Securities and Capital Markets Group in our Vancouver office. Shantela’s practice focuses on advising companies and underwriters in a wide variety of industries including the mining, energy, technology and real estate sectors. She also has an extensive practice in the formation and financing of structured products and private equity funds. 

Shantela advises clients in a variety of sectors with respect to securities and corporate law matters, including corporate finance and venture capital transactions; shareholder and corporate governance matters; mergers, acquisitions and reorganizations; and all aspects of the investment fund industry. Shantela has also been involved in public and private offerings for numerous companies listed on the TSX Venture Exchange, the Toronto Stock Exchange and other foreign stock exchanges.

Representative Work

  • Counsel in a variety of structured product offerings in the mining, oil & gas, alternative energy and real estate sectors (including the Qwest, Maple Leaf and WCSB families of funds), as well as mergers and restructurings of investment funds.
  • Acted as counsel to both issuers and investment bankers in connection with a variety of offerings, and in particular junior to intermediate issuers in the mining industry, including offerings by:

    • NovaGold Resources Inc.
    • Endeavour Silver Corp.
    • Great Panther Resources Limited

  • Acted in connection with the establishment and operation of a variety of private equity funds.
  • Acted as counsel in the reorganization of a publicly traded coal company and the establishment of project joint venture.
  • Acted as counsel to the Special Committee of Far West Mining Ltd. on its $725-million acquisition by Capstone Mining Corp. and Korea Resources Corporation.
  • Acted as counsel to Magma Energy Corp. on its $575-million merger with Plutonic Power Corporation.
  • Acted as counsel to Global Copper Corp. on its acquisition by Teck Cominco Limited and the spin-off of Lumina Copper Corp.
