Pan American Silver Corp. acquires Minefinders Corporation Ltd. for C$1.4 billion

On March 30, 2012, Pan American Silver Corp. successfully completed its acquisition of all of the issued and outstanding common shares of Minefinders Corporation Ltd.  The acquisition was effected by way of a court-approved plan of arrangement (the Arrangement) under the Business Corporations Act (Ontario).

Under the terms of the Arrangement, former shareholders of Minefinders received, on average, C$1.84 and 0.55 of a Pan American share in respect of each of their Minefinders shares, subject to some variation based on elections and prorationing.

The total transaction value was approximately C$1.4 billion.
