Representative Work Section Content 4Structuring, documenting and closing securitization transactions involving all major asset classes, including residential mortgages (RMBS), commercial mortgages (CMBS), credit card receivables, automobile lease receivables, equipment leases, rental portfolios, mutual fund deferred sales charge commissions and mutual fund management fees. Advising all securitization participants, from originators (including banks, crown corporations, credit unions, other financial institutions and private corporations), sellers, lessees and special purpose issuers to underwriters, arrangers, servicers and purchasers. Recent significant transactions include: Advising Canada Mortgage and Housing Corporation and Canada Housing Trust on the structuring (including risk management strategy), documentation and implementation of the Canada Mortgage Bond (CMB) program, the leading Canadian residential mortgaged-backed securitization program, and the fully underwritten offerings (to date) of well in excess of C$300 billion in CMB bonds since program launch in 2001. Advising a financial institution mutual fund manager in connection with the structuring and establishment of a private commercial mortgage-backed securitization transaction and substantial investment in commercial mortgage pass-through certificates. Advising a major financial institution in connection with the securitization of its portfolio of credit-card receivables. Structuring transactions and advising clients regarding special purpose entities and bankruptcy remote structures. Advising arrangers, debt providers, equity participants, lessees and debtors in structured finance transactions. Working with clients and their other advisors to create innovative financing and leasing structures. Advising financial institutions on regulatory requirements and restrictions on structuring transactions and dealing with regulators to obtain rulings, clearances and consents in transactions. Advising clients regarding the income tax, capital tax and goods and services tax implications of structured transactions. Providing litigation services involving structured finance transactions. Advising clients regarding insolvency aspects of securitization transactions including acting as counsel to the Monitor in connection with the C$32-billion restructuring of frozen asset-backed commercial paper. Advising on "big ticket" equipment synthetic leasing transactions involving aircraft, flight simulators, rolling stock, fishing vessels, mining equipment, electrical generation equipment, QTE and chemical plant equipment.
