Purpose of Role

The Paralegal works as part of the Securities and Capital Markets team to independently perform a variety of legal and administrative tasks as well as participating with a team for complex matters to contribute to the overall excellent level of service provided to our clients in the Securities and Capital Markets Group.

Key Responsibilities

The Paralegal will primarily work independently but with the appropriate level of supervision of a lawyer performing the following key responsibilities of the role:

  • Manage complex files and projects
  • Manage and coordinate private placements
  • Manage and coordinate basic corporate maintenance such as annual corporate filings
  • Coordinate searches on SEDAR, SEDI and NRD
  • Coordinate and prepare dealer and adviser registrations and prepare respective fee memos
  • Coordinate and file continuous disclosure filings on SEDAR
  • Coordinate and file insider reports via SEDI
  • Coordinate and file NRD registrations, renewals, amendments and notices
  • Coordinate filings with the TSX-V and TSX and be familiar with rules and regulations
  • Conduct precedent research using software such as DisclosureNet with regard to public companies
  • Conduct public company due diligence and identify issues arising out of due diligence and recommend resolution
  • Prepare fee memos and document checklists for various SEDAR filings including prospectuses and AIF’s
  • Prepare and assemble closing books
  • Review agreements and prepare draft closing documents for mergers and acquisitions
  • Liaise with clients, counsel, securities regulatory authorities, government agencies and third parties
  • Anticipate potential problem issues and bring to the attention of supervising lawyer
  • Draft simple continuous disclosure documents such as Material Change Reports and Early Warning Reports
  • Attend on clients with lawyer to take instructions, review documentation, obtain and compile information, and report on status
  • Attend to maintaining files and records in accordance with Firm procedures
  • Perform ancillary duties and administrative tasks as required

Key Competencies Required

  • Paralegal Diploma
  • 5+ years of paralegal or legal assistant experience in securities and capital markets required
  • Exceptional computer skills, particularly with MS Office.
  • Solid drafting skills which can be developed to an advanced level
  • Professional demeanor and strong organizational, investigative, fact-finding and problem solving skills
  • Ability to process documentation with excellent attention to detail
  • A team player attitude with excellent communication and interpersonal skills
  • Ability to work independently and with excellent judgment to both follow instructions with appropriate supervision and take initiative as required
  • Available to work extended or additional hours, sometimes on short notice, when necessary
