Purpose of Role

The Paralegal will work as part of the Financial Services Practice Group to independently perform a variety of legal and administrative tasks as well as to participate with the team on complex matters in order to contribute to the overall excellent level of service provided to our clients in the Financial Services Group.

Key Responsibilities

The Paralegal will primarily work independently but will also have the appropriate level of supervision from a lawyer in performing the following key responsibilities of the role.

Primary Responsibilities:

  • Conduct detailed due diligence searches including, but not limited to:
    1. Nuans search
    2. Corporate profile searches in all Canadian jurisdictions and outside Canada where necessary
    3. PPSA (Personal Property Security Act) search or equivalent
    4. Bank Act search
    5. Bankruptcy searches
    6. Litigation searches
  • Conduct research, which may include the research topics noted above and others, using various software tools available; process results obtained, interpret and consolidate results in a format that is suitable to attach to a legal opinion
  • Lead team projects with regard to due diligence and coordinate with other offices where necessary
  • Coordinate search results from other offices and compile summaries based on those search results, which may comprise the redaction of search reports, including closing searches, analysis of search results and identification of issues arising from search results

Additional Responsibilities as required:

  • Manage complex files and projects including but not limited to single lender and loan syndications involving lenders and borrowers with domestic and multijurisdictional matters
  • Review and summarize material contracts and corporate constating documents in the context of a transaction
  • Preparation of forms in relation to the publication of securities and other transactions submitted for publication
  • Review security documentation, drafting Financing Statements and Financing Change Statements under the Personal Property Security Act and review draft financing statements prepared in other jurisdictions
  • Prepare and assemble closing documents, including initial drafts of relevant agreements, opinions, officer’s certificates, board resolutions, closing agendas and other closing documents, together with closing books
  • Attend on clients with lawyer to take instructions, review documentation, obtain and compile information, and report on status
  • Liaise with clients, counsel, financial institutions, land registry offices and other third parties such as international lenders and borrowers
  • Work directly with regional authorities and establish a professional business relationship
  • Coordinate multiple requests and prioritizing same
  • Anticipate potential problem issues, consider possible solutions and bring to the attention of supervising lawyer
  • Attend to the maintenance of files and records in accordance with Firm procedures

Key Competencies Required

  • Paralegal Diploma or equivalent
  • 10+ years of Paralegal experience in financial services required; commercial real estate background is an asset
  • Exceptional computer skills, particularly with MS Office
  • Solid drafting skills which can be developed to an advanced level
  • Professional demeanor and strong organizational, investigative, fact-finding and problem solving skills
  • Ability to process documentation with excellent attention to detail
  • A team player attitude with excellent communication and interpersonal skills
  • Ability to work independently and with excellent judgment to both follow instructions with appropriate supervision and take initiative as required
  • Available to work extended or additional hours, sometimes on short notice, when necessary
