Purpose of Role

The Law Clerk works as part of the Commercial Real Estate team to independently perform a variety of legal and administrative tasks as well as participating with a team for complex matters to contribute to the overall excellent level of service provided to our clients in the Commercial Real Estate Group.

Key Responsibilities

The Law Clerk will primarily work independently but with the appropriate level of supervision of a lawyer performing the following key responsibilities of the role:

  • Manage complex files and projects
  • Review agreements and prepare draft closing documents for purchase, sale, financing and leasing commercial real estate transactions, including registration documents
  • Coordinate closing searches (including searches of title, execution and municipal searches, corporate and Personal Property Act searches), analysis of search results and identify issues arising from search results
  • Conduct real estate due diligence and identify issues arising out of due diligence and recommend resolution; prepare draft letters of requisition and responses
  • Attend on clients with lawyer to take instructions, review documentation, obtain and compile information, and report on status
  • Liaise with clients, counsel, financial institutions, title insurance companies, land registry offices, opposite and third parties. Work directly with surveyors, planners, municipal and regional authorities
  • Anticipate potential problem issues and bring to the attention of supervising lawyer/senior law clerk
  • Draft simple legal opinions and title opinions
  • Obtain and review title insurance policies and endorsements
  • Attend closing of transactions and electronic registration of title documents
  • Assist in transactions relating to zoning matters and land development
  • Opportunity to develop commercial leasing skills, in particular, reviewing lease documentation and drafting of collateral lease documentation, including renewals, amendments, assignments and surrenders
  • Prepare and assemble closing books
  • Attend to maintaining files and records in accordance with Firm procedures
  • Perform ancillary duties and administrative tasks as required
  • Other duties as assigned

Key Competencies Required

  • Law Clerk Diploma or Institute of Law Clerks of Ontario Certificate (or equivalent)
  • 5+ years of law clerk or legal assistant experience in commercial real estate required
  • Exceptional computer skills, particularly with MS Office.  Proficiency in the Ontario electronic land registry system (specifically Teraview) and Conveyancer is an asset
  • Solid drafting skills which can be developed to an advanced level
  • Professional demeanor and strong organizational, investigative, fact-finding and problem solving skills
  • Ability to process documentation with excellent attention to detail
  • A team player attitude with excellent communication and interpersonal skills
  • Ability to work independently and with excellent judgment to both follow instructions with appropriate supervision and take initiative as required
  • Available to work extended or additional hours, sometimes on short notice, when necessary
