Steven is an associate in BLG's Calgary office in both the Securities and Capital Markets and Bankruptcy, Insolvency and Restructuring groups.

Steven has experience acting for both public and private issuers on a range of securities and corporate matters, including private placements, public offerings of securities including exchange compliance, and acting for both purchasers and sellers in M&A transactions.

In the Bankruptcy, Insolvency and Restructuring practice, Steven has developed experience working with BLG's group advising court-appointed receivers and monitors on various issues arising during proceedings including creditor distributions, security reviews, royalty interests, liens, and creditor challenges to proceedings.

Representative Work

  • Acting for Birchcliff Energy Ltd. in connection with its bought-deal offering of 107,520,000 subscription receipts by way of short-form prospectus and concurrent non-brokered private placement of an additional 3,000,000 subscription receipts for gross proceeds of $690.8 million.
  • Acting for Kelt Exploration Ltd. in connection with its acquisition of Capio Exploration Ltd., a private Canadian oil and gas company with a transaction value of $165 million (including assumed debt) for cash and share consideration.
  • Acting for a private Canadian waste management solutions provider in connection with its acquisition of the shares and assets of a related business for $3.4 million.
  • Acting as counsel to the court-appointed monitor in the cross-border restructuring of Sanjel Corporation and related entities under the CCAA and Chapter 15 of the US Bankruptcy Code.
  • Acting as counsel to the court-appointed receiver in the receivership of Spyglass Resources Corp. under the BIA.
  • Acting for start-up companies in various matters including incorporation, organization, reorganization, initial and subsequent private placements and employee-related compensation matters.
  • Acting for a private Canadian oil and gas company in connection with its incorporation, seed financing and initial acquisition of producing light oil and natural gas wells in Alberta from a private upstream company.
  • Acting for a private Canadian engineering services firm in connection with its leveraged buyout by a private-equity backed private U.S. company in a transaction valued at approximately $10 million.
  • Acting for a private Canadian industrial products manufacturer in connection with its multi-stage acquisition by a TSX-listed company in a transaction valued at approximately $10 million.
  • Handling competition related matters acting for a wholly-owned subsidiary of Hong-Kong listed China Oil and Gas Group Limited in the acquisition of Baccalieu Energy Inc. with a transaction value of $235.6 million, excluding assumed debt.
  • Acting for a private Canadian investment corporation in connection with its foreclosure and disposition of a commercial real estate property in Alberta.
